Terms and Conditions

1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of the Cura platform, including the website at getcura.co and all related applications, services, and features (collectively, the "Platform"), operated by Cura Tech Systems Limited ("Cura", "we", "us", or "our"), a company registered in Nigeria with RC No. 9514240.

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.

2. Definitions

CompanyA business entity registered on the Platform to manage employee health benefits.
EmployeeAn individual added to the Platform by a Company to access health wallet services.
ProviderA verified healthcare facility, pharmacy, clinic, or specialist registered on the Platform.
Health WalletThe digital balance assigned to an Employee by their Company for healthcare spending.
Health CreditA short-term credit facility made available to Employees through the Platform.
TransactionAny movement of funds on the Platform including wallet funding, provider payments, and credit disbursements.
UserAny person or entity accessing the Platform in any capacity.

3. Eligibility

3.1 Companies

To register as a Company on Cura, you must:

Be a legally registered business entity in Nigeria

Hold a valid CAC registration number

Have at least one employee to onboard

Provide accurate and complete business information during registration

Agree to these Terms on behalf of your organisation

3.2 Employees

To use the Platform as an Employee, you must:

Be invited by a registered Company on the Platform

Be at least 18 years of age

Provide accurate personal information including a valid BVN for credit access

Be currently employed by the Company that invited you

3.3 Providers

To register as a Provider on Cura, you must:

Be a legally operating healthcare facility, pharmacy, clinic, or health service provider in Nigeria

Hold valid operating licences and regulatory approvals where applicable

Provide accurate business and banking information

Agree to Cura's verification process before being listed on the Platform

4. Account Registration and Verification

4.1 Registration

All Users must register an account to access the Platform. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

4.2 Email Verification

All accounts require email verification before access is granted. Verification links expire after 72 hours. Unverified accounts will not have access to Platform features.

4.3 Company Verification

Companies must submit supporting documents including CAC certificates and director identification for verification by Cura. Cura reserves the right to approve or reject Company registrations at its sole discretion. Verified Companies will be notified by email.

4.4 Provider Verification

Providers must submit operating licences and business documents for verification. Cura reserves the right to approve, reject, or suspend Provider listings at its sole discretion. Only verified Providers will be visible to Employees on the Platform.

4.5 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You must notify Cura immediately at hello@getcura.co if you suspect unauthorised access to your account. Cura will not be liable for any loss resulting from unauthorised use of your account.

5. Health Wallet

5.1 Wallet Funding

Companies may fund their Cura wallet via card payment or bank transfer. All wallet funding transactions are processed through Paystack. A processing fee of 1.5% (capped at ₦2,000) applies to all wallet funding transactions and is borne by the Company.

5.2 Employee Health Caps

Companies may assign individual health spending caps to each Employee. The health cap represents the maximum amount an Employee may spend from the Company wallet on healthcare. Health caps may be adjusted by the Company at any time.

5.3 Provider Payments

Employees may use their health wallet balance to make direct payments to verified Providers on the Platform. A service fee of 2% (capped at ₦2,500) applies to each provider payment and is deducted from the transaction amount. The Provider receives the net amount after deduction of the service fee.

5.4 Wallet Balance

Wallet balances are not redeemable for cash and may only be used for healthcare payments to verified Providers on the Platform. Unused wallet balances remain the property of the Company.

5.5 Locked Funds

Companies may choose to lock a portion of their wallet balance for a defined period. Locked funds may not be accessed until the lock period expires. Early withdrawal of locked funds is subject to Cura's terms at the time of locking. Companies that make more than three withdrawals in a calendar month may forfeit benefits associated with locked funds for that month.

6. Health Credit

6.1 Eligibility for Health Credit

Employees may apply for health credit subject to the following conditions:

The Employee has verified their BVN on the Platform

The Employee does not have an outstanding credit balance

The Company has agreed to salary deduction for credit repayment

The requested amount does not exceed the Employee's approved credit cap

6.2 Repayment

Health credit is repaid through salary deductions in monthly instalments. The Company agrees to deduct the monthly repayment amount from the Employee's salary and remit to Cura on or before the due date. The repayment schedule will be clearly communicated to the Employee at the time of credit disbursement.

6.3 Early Repayment

Employees may repay health credit early without penalty. Early repayment will be calculated based on the outstanding balance to the date of repayment.

6.5 Employment Termination

If an Employee with an outstanding credit balance leaves their employment, the full outstanding balance becomes immediately due. The Company remains responsible for remitting any final salary deductions to Cura before or at the time of the Employee's departure.

6.4 Default

If an Employee fails to repay health credit as scheduled, Cura reserves the right to:

Suspend the Employee's access to further credit

Suspend the Employee's health wallet access

Engage the Company to recover outstanding amounts through salary deduction

Report the default to credit bureaus where applicable

7. Provider Payments and Withdrawals

7.1 Payment Receipt

Verified Providers receive payments from Employees directly into their Cura provider balance. Payments are credited to the provider balance net of Cura's service fee.

7.2 Withdrawal

Providers may request withdrawal of their available balance to their registered bank account. A transfer fee of ₦10 applies to each withdrawal and is deducted from the withdrawal amount. Withdrawals are processed within 1–3 business days subject to Paystack's transfer processing schedule.

7.3 Verification Requirement

Only verified Providers may receive payments or request withdrawals. Cura reserves the right to suspend or terminate Provider access if verification documents are found to be inaccurate or if the Provider engages in fraudulent activity.

Cura reserves the right to revise its fee structure with 30 days written notice to affected Users.

9. Prohibited Activities

You must not use the Platform to:

Provide false or misleading information during registration or at any time

Process transactions for non-healthcare purposes

Engage in money laundering, fraud, or any illegal activity

Attempt to circumvent the Platform's security or verification systems

Access another User's account without authorisation

Use the Platform in any manner that could damage, disable, or impair its operation

Reverse engineer, copy, or replicate any part of the Platform

10. Intellectual Property

All content, features, and functionality of the Platform including but not limited to software, text, graphics, logos, and designs are the exclusive property of Cura Tech Systems Limited and are protected by Nigerian and international intellectual property laws. You may not reproduce, distribute, or create derivative works from any part of the Platform without prior written consent from Cura.

11. Data Protection

Your use of the Platform is subject to Cura's Privacy Policy, which is incorporated into these Terms by reference. By using the Platform you consent to the collection and processing of your personal data as described in the Privacy Policy.

13. Indemnification

You agree to indemnify and hold harmless Cura Tech Systems Limited, its directors, employees, and agents from any claims, damages, losses, and expenses including legal fees arising from your use of the Platform, your violation of these Terms, or your violation of any third party rights.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms shall first be referred to mediation. If mediation fails, disputes shall be resolved by arbitration in accordance with the Arbitration and Conciliation Act of Nigeria. The seat of arbitration shall be Lagos, Nigeria.

16. Amendments

Cura reserves the right to amend these Terms at any time. We will notify Users of material changes by email or by posting a notice on the Platform. Your continued use of the Platform after any amendments constitutes acceptance of the revised Terms.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

Cura provides the Platform on an "as is" and "as available" basis without warranties of any kind

Cura shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform

Cura's total liability to any User for any claim arising from the use of the Platform shall not exceed the total fees paid by that User to Cura in the three months preceding the claim

Cura shall not be liable for delays or failures in performance resulting from circumstances beyond its reasonable control including but not limited to power failures, internet outages, or acts of government

14. Termination

14.1 By You

You may terminate your account at any time by contacting hello@getcura.co. Termination does not relieve you of any outstanding financial obligations including unpaid health credit.

14.3 Effect of Termination

Upon termination, your access to the Platform will be revoked. Any outstanding wallet balances will be returned to the Company. Any outstanding health credit balances remain due and payable.

14.2 By Cura

Cura may suspend or terminate your account at any time if:

You violate these Terms

We are required to do so by law or regulatory authority

We determine that your use of the Platform poses a risk to other Users or to Cura

Your account has been inactive for more than 12 months
